Parties

This agreement ("Agreement") is entered into between Gymconnect, hereinafter referred to as "Provider," and [Gym Name], hereinafter referred to as "Client," collectively referred to as the "Parties."

Effective Date

This Agreement shall be effective as of Signup.

Services

Provider agrees to provide Client with Software as a Service (SaaS) solutions, hereinafter referred to as "Services," to digitize and streamline gym management processes. These Services include, but are not limited to, the following:

• Gym Owners Panel: A comprehensive online platform for gym owners to manage memberships, schedule classes, track payments, and monitor gym activities.
• Gym Customers App: A mobile application for gym members to access gym schedules, book classes, track their progress, and communicate with the gym management.

Provider agrees to provide Client with Software as a Service (SaaS) solutions, hereinafter referred to as "Services," to digitize and streamline gym management processes. These Services include, but are not limited to, the following:

• Gym Owners Panel: A comprehensive online platform for gym owners to manage memberships, schedule classes, track payments, and monitor gym activities.
• Gym Customers App: A mobile application for gym members to access gym schedules, book classes, track their progress, and communicate with the gym management.

Services

• Subscription: Client agrees to subscribe to the Services provided by Gymconnect for a period of [Duration] beginning on the Effective Date. Client acknowledges that subscription fees will be payable in accordance with the payment terms outlined in this Agreement.
• Payment: Client agrees to pay Gymconnect the subscription fees as outlined in the pricing plan selected by the Client. Payment shall be made [Monthly/Quarterly/Annually] in advance, unless otherwise agreed upon in writing by both Parties.
• Confidentiality: Both Parties agree to maintain the confidentiality of any proprietary information disclosed during the course of this Agreement. This includes, but is not limited to, business strategies, customer data, and software specifications.
• Intellectual Property: Client acknowledges that all intellectual property rights related to the Services provided by Gymconnect, including but not limited to software, trademarks, and copyrights, are the exclusive property of Gymconnect. Clients shall not reproduce, distribute, or modify any part of the Services without prior written consent from Gymconnect.
• Support and Maintenance: Gymconnect agrees to provide reasonable technical support and maintenance for the duration of this Agreement. Clients may contact Gymconnect's support team for assistance with any issues related to the Services.
• Termination: Either Party may terminate this Agreement with [Notice Period] written notice to the other Party in the event of a material breach of the terms outlined herein. Upon termination, Client shall cease using the Services, and any outstanding fees shall become immediately due and payable.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the rules of [Arbitration Organization].
